Terms and Conditions
These Terms of Service ("Terms") govern your access to and use of Sparkum, a service owned and operated by ONYX Labs LLC, a company registered in the State of New York. By accessing or using Sparkum, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Acceptance of Terms
By creating an account, connecting social media accounts, or using any Sparkum features, you acknowledge that you have read, understood, and agreed to these Terms. If you are using Sparkum on behalf of a company or organization, you represent that you have authority to bind that entity.
If you use features that interact with YouTube services, you also agree to the YouTube Terms of Service.
2. Description of the Service
Sparkum is a social media management platform that allows users to schedule content, analyze performance, manage teams and brands, engage with audiences, and create bio link pages — all from a centralized interface.
Key features include multi-platform post scheduling, calendar and draft management, unified analytics, comment and DM management, multi-brand and team support, role-based permissions, and bio link pages with click analytics. Access to specific features depends on your plan tier. We reserve the right to modify or discontinue any part of the Service at our discretion.
3. Eligibility and Account Registration
To use Sparkum, you must be at least 13 years old. If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian.
By registering, you agree to provide accurate information, keep your credentials secure, and take responsibility for all activity under your account. If you believe your account has been compromised, contact us immediately at sparkum.support@onyxlabs.tech.
4. Subscriptions, Billing, and Payments
Free and Paid Plans: Sparkum offers a free plan and paid subscription tiers. Waitlist registrations do not constitute a subscription and confer no service guarantee.
Billing Cycles: Paid subscriptions are billed monthly or annually. By subscribing, you authorize Sparkum to charge your payment method at the start of each billing cycle until you cancel.
Payment Processing: All payments are securely processed by Stripe. Sparkum does not store or process any credit card or payment data directly.
No Refund Policy: All payments are non-refundable, including partial use, downgrades, or cancellations before the end of your billing cycle.
Cancellation: You may cancel at any time through your account settings. Access to paid features continues until the end of your current billing cycle, after which your account reverts to the free plan.
Plan Changes: Upgrades or downgrades take effect at the start of your next billing cycle. Sparkum does not offer prorated pricing or partial refunds.
5. User Responsibilities and Acceptable Use
By using Sparkum, you agree not to:
- Use Sparkum for any unlawful, fraudulent, or harmful purpose
- Post or schedule content that is defamatory, harassing, abusive, discriminatory, or obscene
- Attempt to access or tamper with non-public areas of the Service or our infrastructure
- Reverse engineer, decompile, or extract source code from the platform
- Interfere with or disrupt the integrity, security, or performance of the Service
- Misrepresent your identity or impersonate others
- Use the platform in violation of connected social platforms' terms of service
You are solely responsible for the content you create, schedule, or post through Sparkum. Violation of these terms may result in suspension or termination without refund.
6. Intellectual Property
Our Rights: The Sparkum platform, including its design, software, branding, and features, is the intellectual property of ONYX Labs LLC. You may not reproduce, modify, distribute, or create derivative works without prior written permission.
Your Rights: You retain ownership of all content you create or manage through Sparkum. By using the Service, you grant Sparkum a limited, non-exclusive license to host, store, and display your content only as necessary to provide platform functionality. We do not claim ownership of your content, nor use it for marketing, training, or resale.
7. Termination and Suspension
By You: You may terminate your account at any time via in-app settings or by contacting sparkum.support@onyxlabs.tech. Paid plans remain active until end of billing cycle. No refunds are provided for unused time.
By Sparkum: We reserve the right to suspend or terminate your account, with or without notice, if you violate these Terms, your use poses a risk to the platform or other users, or required by law or regulatory authority.
Effect of Termination: Your access will be revoked and non-public data may be deleted. Audit logs and cached analytics may persist temporarily for legal or operational purposes.
8. Disclaimers and Limitation of Liability
Sparkum is provided on an "as is" and "as available" basis. We do not guarantee the Service will be uninterrupted, error-free, or secure at all times. We make no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
Sparkum relies on third-party APIs (Instagram, Facebook, TikTok, YouTube, etc.). We are not responsible for changes, limitations, or outages caused by those platforms.
To the fullest extent permitted by law, ONYX Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim will not exceed the amount you paid to Sparkum in the 12 months preceding the event.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York. Any dispute shall be resolved first through good-faith negotiation, then exclusively in state or federal courts in New York County, New York. All claims must be brought individually — class actions are not permitted.
